Terms of Service

These terms apply to your use of our website and to commercial engagements for apparel manufacturing, sourcing, and related services unless we agree otherwise in writing.

These Terms of Service (“Terms”) are entered into between you (“you,” “your,” or “Customer”) and Ningbo Great Ambition Imp. & Exp. Co., Ltd. (“Ambition,” “we,” “us,” or “our”). By accessing our website or requesting quotes, samples, or production, you agree to these Terms. If you do not agree, do not use our site or services.

1. Services

Ambition provides business-to-business apparel manufacturing, OEM/ODM, sampling, fabric and trim sourcing, and related services as described in proposals, order confirmations, or separate written agreements. Website content is for general information; it is not an offer to sell until confirmed in writing (including email) with agreed specifications, pricing, and timelines.

2. Eligibility and account conduct

Our services are intended for businesses and individuals acting in a commercial capacity. You represent that you have authority to bind any organization you represent. You agree not to misuse the site (for example, by attempting unauthorized access, distributing malware, or scraping content in violation of these Terms or applicable law).

3. Quotes, orders, and specifications

Quotes are estimates unless expressly stated as firm. Final terms—including price, quantity, incoterms, payment terms, and delivery—are governed by the order confirmation or contract you accept. You are responsible for the accuracy of tech packs, measurements, labels, and compliance requirements you provide. Changes after confirmation may affect price and lead time.

4. Samples, designs, and intellectual property

You retain ownership of your trademarks, designs, and materials you supply, subject to your agreements with third parties. You grant us a limited license to use your materials solely to evaluate, sample, and produce your orders. You warrant that your content does not infringe others’ rights. We may decline projects that violate law or our policies.

5. Payment and taxes

Payment terms are as stated in your order or invoice. Late payments may incur fees or suspension of work as permitted by contract and law. Taxes, duties, and import charges are your responsibility unless otherwise agreed in writing.

6. Shipping, inspection, and acceptance

Risk and title transfer according to the incoterms or shipping terms in your order. You should inspect goods upon receipt and notify us of qualifying defects within the period stated in your contract or, if none, within a reasonable time. Detailed quality and remedy terms are set out in the applicable sales agreement or inspection terms.

7. Disclaimer of warranties

To the fullest extent permitted by law, our website and any pre-contractual information are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Specific warranties for delivered goods, if any, are defined in your purchase contract.

8. Limitation of liability

To the fullest extent permitted by applicable law, Ambition and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from or related to these Terms or your use of the site, except where such exclusion is prohibited by law. Our aggregate liability arising from any claim relating to services under a specific order is generally limited to the amount paid by you for that order in the twelve (12) months preceding the claim, unless a signed contract states a different cap.

9. Indemnity

You will defend, indemnify, and hold harmless Ambition and its officers and employees from claims, damages, and costs (including reasonable attorneys’ fees) arising from your materials, your breach of these Terms, or your violation of third-party rights, except to the extent caused by our willful misconduct.

10. Force majeure

We are not liable for delay or failure due to events beyond our reasonable control, including natural disasters, epidemics, war, sanctions, labor disputes, utility failures, or supply chain disruptions.

11. Governing law and disputes

These Terms are governed by the laws of the People’s Republic of China, without regard to conflict-of-law rules that would apply another jurisdiction’s laws, except where mandatory consumer or local rules apply to you. Courts located in Ningbo, Zhejiang, China, shall have exclusive jurisdiction over disputes arising from these Terms or the website, subject to any mandatory arbitration or venue rules in a separate signed commercial contract for a specific order.

12. Changes

We may update these Terms by posting a revised version on this page and updating the effective date. Your continued use of the website after changes constitutes acceptance of the updated Terms. For ongoing production relationships, separately signed contracts may prevail where they conflict with these general Terms.
